1. Acceptance of terms

By using HeroPass, submitting a partnership enquiry, or creating an account, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use HeroPass.

2. The HeroPass platform

HeroPass connects verified frontline professionals with participating merchant partners through membership benefits, offers, and related tools. Features may evolve over time. We may modify, suspend, or discontinue parts of the platform with reasonable notice where practicable.

3. Eligibility

To use HeroPass services you must:

• Be at least 18 years old and legally able to enter into a binding agreement.
• Provide accurate, complete, and current information.
• If acting for a business, have authority to bind that business to these Terms.

4. Merchant partnerships

Submitting a partnership request does not guarantee acceptance. HeroPass may approve, reject, or request additional information at its discretion. If accepted as a merchant partner, you agree to:

• Honour published offers and redemption terms in good faith.
• Keep business profile and offer information accurate and up to date.
• Comply with applicable laws, including consumer protection, advertising, and tax requirements.
• Not misuse member data or HeroPass branding beyond authorised use.

5. Offers and redemptions

Merchants are responsible for the content, legality, availability, and fulfilment of their offers. HeroPass may review, feature, pause, or remove offers that violate these Terms, appear misleading, or harm the platform or members.

Unless expressly stated otherwise, HeroPass is not a party to the transaction between a member and a merchant and is not responsible for goods or services provided by merchants.

6. Accounts and security

You are responsible for maintaining the confidentiality of account credentials and for activity under your account. Notify us promptly of any unauthorised use. We may suspend accounts that appear compromised or that violate these Terms.

7. Intellectual property

HeroPass names, logos, product design, software, and content are owned by HeroPass or its licensors. You may not copy, modify, distribute, or create derivative works without prior written permission, except for limited use expressly authorised for merchant partnership materials.

8. Prohibited conduct

You agree not to:

• Use HeroPass for unlawful, fraudulent, or deceptive purposes.
• Interfere with platform security, integrity, or availability.
• Scrape, reverse engineer, or misuse HeroPass systems or data beyond permitted use.
• Impersonate another person or misrepresent your affiliation with a business.

9. Disclaimers

HeroPass is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted service, specific business results, or that offers will achieve any particular outcome.

10. Limitation of liability

To the fullest extent permitted by applicable law, HeroPass and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill arising from your use of the platform. Our aggregate liability for claims relating to HeroPass shall not exceed the fees you paid to HeroPass (if any) in the three months preceding the claim.

11. Suspension and termination

We may suspend or terminate access to HeroPass if you breach these Terms, create risk for the platform or users, or if required by law. You may stop using HeroPass at any time. Provisions that by nature should survive termination will continue to apply.

12. Governing law

These Terms are governed by the laws of India. Courts in India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, subject to any mandatory consumer protections that apply.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date shows the latest revision. Continued use of HeroPass after changes take effect constitutes acceptance of the updated Terms.
